M E M O R A N D U M   O F   A G R E E M E N T

November 6th

WHEREAS, the Tri-Lakes Fire Protection District (“TLFPD”) and the Woodmoor~ Monument Fire Protection District (“WMFPD”) exist as special districts to provide fire protection, emergency medical response, and other emergency services within their respective districts, with the WMFPD district located totally within TLFPD’s geographic boundaries,

WHEREAS, the dramatic growth occurring in recent years in and adjacent to both districts has substantially increased the demand for services in both districts,

WHEREAS, both districts have provided and continue to provide mutual aid to each other and to other districts/fire departments co-existing within or adjacent to the Tri-Lakes area,

WHEREAS, WMFPD entered into a contract at the end of September with a fully qualified consultant to study current and future emergency service needs of its district and those of the Town of Palmer Lake (now served by the town’s volunteer fire department), to examine alternative ways of improving the responsiveness and effectiveness of services provided in its own district, the Town and adjacent areas, and to explore the feasibility of each of these alternatives, with work to begin no earlier than November 25th, 2001,

 WHEREAS, TLFPD collaborated in the development of the scope of work for this consultant effort and participated in his selection, and

WHEREAS, TLFPD has planned to conduct a parallel study next year with the same consultant to accomplish independently many of the same objectives noted above, budgeting funds for this purpose to be expended only after January 1st, 2002,

NOW, THEREFORE, IT IS AGREED BETWEEN THE DISTRICTS:

  1. That the WMFPD will arrange to amend its consultant’s scope of work to incorporate TLFPD as a joint sponsor of the consultancy, requiring a concurrent assessment of the TLFPD and its needs within the study in the same fashion and to the same extent these are being addressed for WMFPD and the surrounding area (a joint scope of work has already been developed for this consultant and tentatively agreed to by both districts),
  1. That the consultant’s scope of work will explore and assess the feasibility of a full range of ways in which service efficiency and responsiveness can be improved within the districts and the Town of Palmer Lake Fire Department, to include if appropriate the political and territorial unification of two or more of these entities under a variety of legal options, recommending in such a case the most efficacious way of achieving this unification,
  1. That the Chairmen of both Districts [insert: and the mayor of Palmer Lake] [added as a pen and ink change by the board members present] will each appoint themselves or a Board member, and one other of their Board members for a total of two persons, to sit from time to time with their counterparts from the other district serving when necessary as a steering committee to direct the work of and answer questions from the consultant which cannot otherwise be handled on a day to day basis by the Chiefs of the two districts acting as a team.
  1. That both districts agree to share equally the total costs of this joint consultant study, to include the consultant’s out-of-pocket expenses, after the agreed contribution of the Town of Palmer Lake ($1000.00) and the Town of Monument’s Heritage Grant contribution ($5000.00) are deducted from the total.  In no event, however, will the total share of TLFPD exceed that of WMFPD or $15,000.00, whichever is the smaller,
  1. That WMFPD agrees to pay TLFPD’s share of contract costs and consultant out-of-pocket expenses as may accrue during Calendar Year 2001, charging no interest or fees, but accruing a balance due which TLFPD agrees to repay in full to WMFPD during the month of January, 2002,
  1. That, while TLFPD agrees to provide information to the consultant beginning on November 25th as necessary to facilitate the consultant’s work in the area, the consultant will be requested to begin assessment of WMFPD and the Palmer Lake Fire Department needs and capabilities first, deferring to the extent possible efforts requiring the direct involvement of TLFPD staff and personnel until after January 1st,
  1. That both districts agree to review the consultant’s final study report and recommendations jointly and in good faith, and, if appropriate, to move aggressively and timely to implement them to the benefit of all Tri-Lakes area residents.

Approved by a concurrent vote of the Boards of Directors of the Tri-Lakes Fire Protection District and the Woodmoor~Monument Fire Protection District this sixth day of November, 2001:
